Collaboration Agreement

In Valencia, October 22, 2025

GATHERED:

On the one hand, CaranvaSports SL, with CIF: B75520114, represented by its CEO, Jaime Rodríguez, hereinafter "Caranva".

And on the other hand, [Name of the rental store], with CIF: [●], represented by [Name of the person in charge], hereinafter the "Supplier".

THEY STATE:

Your willingness to collaborate in the management and promotion of sports equipment rentals through the CaranvaSports platform, under the following terms and conditions:


1. Purpose of the agreement

Caranva and the Supplier agree to collaborate in the management, promotion, and reservation of sports equipment (hereinafter, "Equipment"). Caranva will act as an intermediary, facilitating visibility and reservations for the Supplier through its digital platform, and the Supplier undertakes to provide the Equipment in optimal condition and to manage reservations as agreed.


2. Commission and economic benefits

2.1. Commission for online bookings

Caranva will apply a commission based on the revenue generated through its platform:

  • Billing up to €10,000: The commission will be 15% of the total accumulated amount.

  • Billing over €10,000: Once a cumulative annual turnover of €10,000 is reached, the commission will increase to 20% , applying only to the amount exceeding this amount.

  • Annual calculation: The billing calculation will be carried out cumulatively for each calendar year.

2.2. Commission for in-person reservations

When the store uses Caranva's in-store reservation system, a 2% commission will be applied to the amount of reservations processed directly in the store. This system aims to optimize internal management and reduce customer wait times.

2.3. Payment Options

The customer will have two payment options through the Caranva platform:

  1. Partial Payment (Reservation): The customer may pay online only the portion corresponding to Caranva's reservation fee. The remaining amount must be paid directly to the Supplier in the store.

  2. Full Payment (100%): The customer can pay the full rental amount online. In this case, Caranva will pay the Supplier the corresponding portion (minus the commission) within 30 days of the reservation date.

2.4. Affiliation

The Provider may earn commissions by recommending Caranva products or services to its customers through personalized codes or links.

2.5. Joint purchases

At the end of the season, both parties can contact each other to place a joint order for sports equipment and thus obtain a better price from the manufacturer.


3. Management

3.1. Insurance Management

The Supplier shall be solely responsible for insurance coverage of the Material. Caranva acts exclusively as an intermediary and will have no direct involvement in the management of damage or loss.

3.2. Reservation and Cancellation Management

Free cancellation will be accepted with at least 24 hours' notice . If cancellation is made with less than 24 hours' notice or if the customer does not show up, the rental fee will not be refunded.


4. Supplier Commitments

  • Stock Update: You must regularly update the availability of the Material in the system.

  • Material Quality: The Material must be delivered in optimal conditions for use.

  • Efficient management: You will manage reservations in a timely manner, having the material ready for the client.

  • Promotional Content: You will provide accurate photographs and descriptions of your Material.

  • Web Visibility: You agree to include a prominent mention of your collaboration with CaranvaSports on your website.


5. Obligations of Caranva

  • Promotion: You will advertise the Supplier's products and services on your platform and other advertising tools.

  • Reservation Management: Will be responsible for the technical management of reservations and will send confirmations to the Supplier.

  • Technical Support: Will provide technical support to the Supplier for the use of the reservation system.

  • Online visibility and Google Maps: To increase customer flow to the Supplier's store and improve both locations, Caranva can create and manage a Google Maps listing for the store. This action aims to double its customer base and attract new customers through an optimized presence on Google Maps and search results.


6. Duration and renewal of the agreement

The agreement will initially last one year and will be automatically renewed for equal periods unless one of the parties gives 45 days ' notice of its intention not to renew.


7. Confidentiality

Both parties agree to maintain the confidentiality of the information shared during and after the term of the agreement.


8. Conflict resolution

Any dispute arising from this agreement will be resolved through mediation. If no agreement is reached, the dispute will be subject to the jurisdiction of the courts of Ciudad Real.


9. Signature

Both parties agree to the terms and conditions set forth in this agreement.
